By studying the relationship between corporate governance and risk, this study goes beyond the board structure and intends to investigate a new financial- behavioral branch in connection to the corporate governance. This study particularly aims to test the arrangements and conditions in which the Board of directors is associated with a corporate risk. In this regard, characteristics of managers, board structure, and board processes of 81 companies listed in Tehran Stock Exchange between 2006 and 2012 were investigated. Financial and commercial risks variables with specific ratios were used for assessing the risk of companies. This study is a descriptive/correlational research. T-test and ANOVA was used for analyzing factor of board structure, and partial least squares regression was used for analyzing factors of board process and directors characteristics. According to results, hypotheses test results generally indicates the presence of relationship between corporate governance and risk.
